In the event of the sellers’ failure to effect loading when the vessel arrives duly at the loading port , all expenses including dead freight and / or demurrage charges thus incurred shall be for seller’s account.

　　15．質(zhì)量保證：

　　Quality guarantee :

　　貨物品質(zhì)規(guī)格必須符合本合同及質(zhì)量保證書(shū)之規(guī)定，品質(zhì)保證期為貨到目的`港_____個(gè)月內(nèi)，在保證期限內(nèi)，因制造廠商在設(shè)計(jì)制造過(guò)程中的缺陷造成的貨物損害應(yīng)由賣(mài)方負(fù)責(zé)賠償。

　　The sellers shall guarantee that the commodity must be in conformity with the quality and specifications specified in this contract and Letter of Quality Guarantee .The guarantee period shall be months after the arrival of the goods at the port of destination , and during the period the sellers shall be responsible for the damage due to the defects in designing and manufacturing of the manufacturer.

　　16．商品檢驗(yàn)：賣(mài)方須在裝運(yùn)前_____日委托檢驗(yàn)機(jī)構(gòu)對(duì)合同之貨物進(jìn)行檢驗(yàn)并出具檢驗(yàn)證書(shū)，貨到目的港后，由買(mǎi)方委托____檢驗(yàn)機(jī)構(gòu)進(jìn)行復(fù)檢。

　　17．索賠

　　Claims:

　　如經(jīng)中國(guó)_____檢驗(yàn)機(jī)構(gòu)復(fù)檢，發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質(zhì)量與本合同及質(zhì)量保證書(shū)之規(guī)定不符，買(mǎi)方可于貨到目的港后天內(nèi)憑上述檢驗(yàn)機(jī)構(gòu)出具的證明書(shū)向賣(mài)方要求索賠。如上述規(guī)定之索賠期與質(zhì)量保證期不一致，在質(zhì)量保證期限內(nèi)買(mǎi)方仍可向賣(mài)方就質(zhì)量保證條款之內(nèi)容向賣(mài)方提出索賠。

　　The buyers shall lodge claims against the sellers based on the Inspection Certificate issued by China Inspection Authority Days after the arrival of the goods at the destination , if the goods are found to be damaged , missing or the specifications , quantity, and quality not in conformity with those specified in this contract and Letter of Quality Guarantee . In case the claim period above specified is not in conformity with the quality guarantee period, during the quality guarantee period, the buyers have rights to lodge claims against the sellers concerning the quality guarantee.

　　18．延期交貨違約金

　　Late delivery and penalty

　　除雙方認(rèn)可的不可抗力因素外，賣(mài)方遲于合同規(guī)定的期限交貨，如買(mǎi)方同意遲延交貨，賣(mài)方應(yīng)同意對(duì)信用證有關(guān)條款進(jìn)行個(gè)性和同意銀行在議付貨款時(shí)扣除本條規(guī)定的違約金。違約金總值不超過(guò)貨物總價(jià)值的5%，差率按7天0.5%計(jì)算，不滿7天仍按7天計(jì)算。在未采用信用證支付的情況下，賣(mài)方應(yīng)將前述方法計(jì)算的違約金即付買(mǎi)方。

　　If the sellers fail to make delivery on time as stipulated in the contract , with exception of Force Majeure, the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the L/C and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . The penalty , however , shall not exceed 5% of the total value of the goods . The rate of penalty is charged at 0.5%for every seven days , if less that seven days. In case , the payment is not made through L/C , the sellers shall pay the penalty counted as above to the buyers as soon as possible.

　　19．人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣(mài)方概不負(fù)責(zé)，但賣(mài)方應(yīng)將上述發(fā)生的情況及

　　時(shí)通知買(mǎi)方。

　　Force Majeure : The sellers shall not hold any responsibility for partial or total non-performance of this contract due to Force Majeure . But the sellers shall advise the buyers on times of such occurrence.

　　20．爭(zhēng)議之解決方式：

　　Disputes settlement :

　　□任何因本合同而發(fā)生或與本合同有關(guān)的爭(zhēng)議，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按該會(huì)的仲裁規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國(guó)深圳。仲裁裁決是終局的，對(duì)雙方均有約束力。

　　All disputes arising out of the contract or in connection with the contract , shall be submitted to the China International Economic and Trade Arbitration Commission for arbitration in accordance with its Rules of Arbitration in ShenZhen China . The arbitral award is final and binding upon both parties.

　　21．法律適用

　　Law application :

　　本合同之簽訂地、或發(fā)生爭(zhēng)議時(shí)貨物所在地在中華人民共和國(guó)境內(nèi)或被訴人為中國(guó)法人的，適用中華人民共和國(guó)法律，除此規(guī)定外，適用《聯(lián)合國(guó)國(guó)際貨物銷(xiāo)售公約》。

　　2. 租金按個(gè)月為壹期支付；第一期租金于年月日以前付清；以后每期租金于每個(gè)付款月的第日以前繳納，先付后住（若乙方以匯款形式支付租金，匯費(fèi)由匯出方承擔(dān)）。甲方收到租金后予以書(shū)面簽收。

The Sellers shall be liable for any damage to the goods on account of improper packing and for any rust damage and break damage attributable to inadequate or improper protective measures taken by the Sellers， and in such case or cases any and all losses and / or expenses incurred in consequence thereof shall be borne by the Sellers. One full set of service and operation manuals concerned shall be enclosed in the case(s). The wood packaging the Seller used shall be fumigated and marked with “IPPC” on the surface of wood packaging.

　　(17) 不可抗力：賣(mài)方對(duì)由于下列原因而導(dǎo)致不能或暫時(shí)不能履行全部或部分合同義務(wù)的，不負(fù)責(zé)任：水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭(zhēng)或其他任何在簽約時(shí)賣(mài)方不能預(yù)料、無(wú)法控制且不能避免和克服的事件。但賣(mài)方因盡快地將所發(fā)生的事件通知對(duì)方，并應(yīng)在事件發(fā)生后15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。如果不可抗力事件之影響超過(guò)120天，雙方應(yīng)協(xié)商合同繼續(xù)履行或終止履行的事宜。

　　FORCE MAJEURE: Seller shall not be responsible for failure or delay in performance of entire or portion of these Sale Contract obligations in consequence of Force Majeure incidents: flood, fire, earthquake, drought, war, or any other matters couldn’t be foreseen or controlled or couldn’t be avoided. But Seller shall inform the incidents to Buyer immediately, and shall delivery the certificate of Force Majeure incidents issued by related organization within 15 days after the incidents happened. If the incidents influence more than 120 days, both parties shall negotiate to decide whether to execute or terminate the Sales Contract.

　　(18) 仲裁：因履行本合同所發(fā)生的一切爭(zhēng)議，雙方應(yīng)友好協(xié)商解決，如協(xié)商仍不能解決爭(zhēng)議，則應(yīng)將爭(zhēng)議提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)（北京），依據(jù)其仲裁規(guī)則仲裁。仲裁裁決是終局的，對(duì)雙方都有約束力。仲裁費(fèi)應(yīng)由敗訴一方承擔(dān)，但仲裁委員會(huì)另有裁定的除外。在仲裁期間，除仲裁部分之外的其他合同條款應(yīng)繼續(xù)執(zhí)行。

　　Party A will sign Purchasing Agreement directly with producers or its agents, and the

　　payment term of goods will be negotiated and agreed by Party A and the Seller.

　　6. 傭金的計(jì)算、給付方式、給付時(shí)間： Commission calculation, payment methods, payment time 甲方同意按照采購(gòu)產(chǎn)品總金額的（1-5）%支付傭金給乙方，支付日期為付款給賣(mài)方的同一天，傭金匯入乙方指定銀行賬戶。如甲方以預(yù)付款或分期付款的形式向賣(mài)方支付貨款，在甲方向賣(mài)方支付第一筆貨款的同時(shí)向乙方全額支付采購(gòu)產(chǎn)品總金額的傭金。

　　For the Purchasing Agent's services, the Party A shall pay the Party B the following commission percentage:(1-5)% of Part B’s purchasing aggregate amount of the invoice value,simultaneously within the same banking day as the party A makes payment to the Seller. Commission should be remitted to Party B’s designated bank account. If the Party A makes advance payments to the Seller or payment by installments, he should pay the commission to Party B simultaneously with the first payment he made to the Seller.

　　7. 違約責(zé)任：

　　(1) 甲方若不按本合同第6條的'執(zhí)行，逾期一天應(yīng)支付乙方滯納金，滯納金系數(shù)為：總傭金的5‰/天。
